Six practices, one standard.
Every matter gets a partner, a written scope and a price before the work begins. These are the areas where we do that work.

Corporate & Transactions
The documents a company is built on and the deals that change it. We form entities, negotiate financings and close acquisitions for privately held companies, most of them between five and eighty million dollars in value.
- Entity formation, operating and shareholder agreements
- Seed, growth and bank financings
- Mergers, acquisitions and sales of a business
- Commercial contracts, supply and distribution agreements
- Board governance and executive compensation

Commercial Litigation
Disputes between businesses, partners and the people who run them. We give a candid assessment early, build the case as if it will be tried, and resolve most of them before it is.
- Breach of contract and partnership disputes
- Trade secret, non-compete and unfair competition claims
- Shareholder and member disputes, including buyouts
- Arbitration and mediation
- Injunctions and emergency relief

Employment & Workplace
The decisions about people that carry legal weight. We write the documents employers actually use, answer the questions that come up on a Tuesday afternoon, and handle the claims that occasionally follow.
- Offer letters, handbooks and workplace policies
- Executive, commission and equity agreements
- Separations, severance and release agreements
- Wage, classification and leave compliance
- Agency charges and employment claims

Real Estate & Land Use
For companies that own, lease or build the places they work. We handle the purchase, the lease and the development agreement, and the approvals that decide whether a project can go ahead.
- Commercial purchases and sales
- Office, industrial and retail leases, both sides
- Development and construction agreements
- Zoning, entitlements and land use approvals
- Financing and title matters

Estate & Succession Planning
The transition nobody wants to schedule. We work with owners and families on who owns what, who decides, and what happens when they stop, and we put it in documents that will hold when they are needed.
- Buy-sell agreements and ownership transitions
- Trusts, wills and powers of attorney for business owners
- Family business governance and councils
- Management succession and retention plans
- Estate and trust administration

Intellectual Property & Brand
What a company has built that is not on the balance sheet. We register and defend trademarks, draft the licenses and confidentiality agreements that protect know-how, and step in when someone else uses what is yours.
- Trademark clearance, registration and enforcement
- Licensing, franchising and distribution agreements
- Trade secret programs and confidentiality agreements
- Software, content and technology contracts
- Domain and brand disputes

How we price the work.
Most matters are quoted as a fixed fee or a capped estimate, in writing, before we start. These are typical ranges; your scope will set the number.
- Entity formation with founder documentsfrom $2,800, fixed
- Commercial lease review and negotiationfrom $1,900, fixed
- Employee handbook and core policiesfrom $3,500, fixed
- Acquisition or sale of a businesscapped estimate, by phase
- Litigationphased budgets, approved before each phase
- Hourly, when a matter cannot be scoped$395 to $650 per hour
Questions we hear first.
Do you charge for the first conversation?
No. The first thirty minutes with a partner are at no charge. We use them to understand the matter and tell you honestly whether we are the right firm for it.
What if my matter does not fit one practice area?
Most do not. A sale of a business touches corporate, employment, real estate and often succession. One partner leads, the others join as needed, and you still get one scope and one invoice.
Can you work with our existing accountant or bank?
Yes, and we prefer to. Deals and transitions go better when the lawyers, the accountants and the lender are reading the same documents at the same time.
Do you handle matters outside Colorado?
Our attorneys are admitted in Colorado. For matters elsewhere we work with local counsel we know, and we coordinate so you are not paying two firms to learn the same facts.
How quickly do you respond?
A written answer with a next step within one business day, on every open matter. If something is urgent, say so and we will treat it that way.
Tell us about the matter.
Thirty minutes with a partner, no charge, and a written scope with a price if we are the right firm for it.
